Escrow Terms
1. About these terms
These Escrow Terms apply to every purchase of a YouTube channel made through SwapCreators, from the moment an offer is accepted (or a listing is bought with Buy now) until the transaction is completed or cancelled. They also apply to money added to, held in, or paid out of your SwapCreators balance.
They form part of, and are read together with, our Terms of Service, Privacy Policy, Risk Disclosure, and the fees shown on the Fees page and on your transaction page. If these Escrow Terms conflict with the Terms of Service on anything to do with a transaction, these Escrow Terms apply.
By making an offer, accepting one, using Buy now, paying into escrow, or adding balance, you agree to these terms.
2. Definitions
- Buyer and seller: the two members on either side of a transaction.
- Transaction: a purchase of one channel at an agreed price, identified by its escrow code (for example ESC-7KQ4M2XA) and shown on its transaction page.
- Purchase price: the price agreed in the accepted offer, or the asking price for Buy now, in US dollars.
- Escrow fee: SwapCreators’ fee for the escrow service, paid by the buyer on top of the purchase price.
- Amount due: the purchase price plus the escrow fee.
- Escrow agent: SwapCreators staff who confirm payments, hold the channel during the handover, decide disputes, and release or refund funds. In chats they appear as “SwapCreators escrow agent”.
- Funded: the transaction page shows that SwapCreators has received and confirmed the amount due.
- Handover: the transfer of control of the channel from the seller to the buyer through the escrow agent.
- Balance: money credited to your SwapCreators account, shown on the Balance page.
3. Our role as escrow agent
SwapCreators acts as a neutral escrow agent between the buyer and the seller. We hold the amount due from the time it is confirmed until the transaction is completed, cancelled, or a dispute is decided, and we pay it out only as these terms describe.
- We are not the buyer or the seller, we do not own the channels listed, and we do not act as either side’s representative, broker, or adviser.
- We do not verify, and do not guarantee, a channel’s revenue, analytics, audience, monetization, or future standing. Ownership verification shows that the seller controlled the channel when it was listed, nothing more.
- We are not a bank, and money held in escrow or in your balance is not a deposit account. It earns no interest for you and is not invested on your behalf.
- We follow the instructions in these terms, not instructions from either party that conflict with them.
4. Who can use escrow
- You must be at least 18 years old, or the age of majority where you live, and able to enter a binding contract.
- You must use your own SwapCreators account, and act for yourself or for a business you are authorized to bind.
- You may not use escrow if you are suspended or banned, or where using it would break the law that applies to you, including sanctions laws.
- We may ask for your name, phone number, address, country, and other information to confirm a payment, pay you out, or meet our legal obligations. We may refuse or pause a transaction until we have it.
5. Starting a transaction
A transaction starts when the seller accepts a buyer’s offer, the buyer accepts the seller’s counteroffer, or the buyer uses Buy now. At that point both sides have agreed the sale at the purchase price, and the listing can’t be sold to anyone else while the transaction is open.
With Buy now paid by UPI or crypto, the buyer first sees the payment details at checkout, and the transaction starts when they submit their payment. A checkout doesn’t reserve the listing: if another buyer’s transaction starts first, or the price changes before the payment is submitted, no transaction is made and the payment is sent back to the account it came from.
- The transaction page is the record of the deal: the price, the escrow fee, the stage it has reached, and every step taken. Only the buyer, the seller, and SwapCreators staff can see it.
- What was disclosed in the listing, and anything the seller confirmed in chat, forms part of what the buyer is buying.
- Everything about payment, handover, and disputes happens through the transaction page and the SwapCreators chat for that deal.
6. Fees
- The escrow fee is paid by the buyer, on top of the purchase price. Its amount is shown on the Fees page and fixed on your transaction page when the transaction starts. Later changes to our prices don’t change it.
- Sellers pay no success fee and no listing fee. The seller is owed the full purchase price when escrow is released.
- Payout fees apply when money is sent out of SwapCreators (by UPI, bank transfer, PayPal, or crypto). They depend on the method (for crypto, never less than the network’s sending fee for the coin and network you choose), are shown before you confirm a payout, and are taken from the amount sent. Approved crypto payouts may be sent through our payment processor, Heleket, to the wallet you give; we can’t recover crypto sent to a wrong address or network you entered.
- Your own bank, wallet, exchange, or payment app may charge its own fees, network fees, or currency conversion costs. Those are yours to pay, and the full amount due must still reach us.
- Optional promotions (pins and bumps) are separate purchases from your balance and are not part of escrow.
7. Paying into escrow
The buyer pays the amount due in one of two ways, from the transaction page only:
- From site balance. If your balance covers the amount due, paying from balance funds escrow immediately.
- By an external payment (UPI, Binance Pay, crypto, or bank transfer). Choose the method, send the exact amount shown to the receiving details shown, include the escrow code wherever your app allows a note, then tell us you’ve paid by entering the payment reference and the payer’s details.
Rules for external payments:
- Use only the receiving details shown on your transaction page at the time you pay. SwapCreators never sends payment details by chat, email, Telegram, or phone, and never asks you to pay the seller directly. A payment sent anywhere else is not a payment into escrow.
- The account name shown for a receiving account may differ from “SwapCreators”. The transaction page shows the account name to expect; that account receives payments for SwapCreators.
- Pay the full amount due in one payment from an account in your own name, or one you are authorized to use. We may refuse payments from third parties.
- UPI amounts are shown in Indian rupees, converted from the amount due at the rate shown, rounded up to the next whole rupee. Pay the rupee amount shown.
- The payment reference you give must be the real reference for your payment. Each reference can be used once.
- Where the payment page asks for it, you must tell us the account you paid from (your UPI ID, Binance Pay ID, sending wallet on the same network, or bank account). Any refund of that payment then goes back to that account only.
- Telling us you’ve paid doesn’t fund escrow. Escrow is funded only when we confirm the payment (section 9).
- Either party can still cancel until escrow is funded (section 15). If you’ve sent money and the deal is then cancelled, tell the escrow agent in your chat straight away so it can be returned.
8. Payment methods
The methods offered on your transaction page are the ones available at that time. For each:
- UPI: pay the rupee amount to the UPI ID shown, or scan the QR code, which has the amount and note filled in. Give us the 12-digit UPI reference number (UTR) from your app.
- Binance Pay: send the amount due in USDT or USDC to the Binance Pay ID shown. Give us the Order ID from your Binance Pay history.
- Crypto: send the coin, on the network, you choose on the transaction page. Usually you pay on the secure page of our crypto payment processor, Heleket, which accepts every coin and network it lists there (stablecoins such as USDT and USDC, and other cryptocurrencies such as Bitcoin, Ethereum, or Litecoin, as available), converts the amount due in US dollars into your coin at its rate when the payment is opened, shows the address and exact amount, and you don’t need to give us a reference. Where an address is shown on our page instead, only USDT or USDC are accepted (USDT on Tron (TRC-20); USDT and USDC on BNB Smart Chain (BEP-20); USDT and USDC on Ethereum (ERC-20); USDT and USDC on Solana (SPL); USDT and USDC on Polygon PoS; USDT and USDC on Arbitrum One; USDC on Base; USDT on TON, where offered), one unit counts as one US dollar, and you give us the transaction hash (TxID). Network fees are on top, so the full amount due must arrive. Refunds of a payment in a coin other than USDT or USDC are sent as their US-dollar value, in USDT or USDC or in the same coin at the rate on the day they are sent.
- Bank transfer: pay the amount due in US dollars to the bank details shown, with the escrow code as the payment reference. Give us your bank’s reference for the transfer.
Crypto sent on the wrong network, in the wrong coin, or to the wrong address may be lost permanently. We can’t reverse blockchain transactions. If it reaches an address we control and we can recover it at reasonable cost, we’ll try to return it, less the cost of doing so, but we don’t promise to.
9. Confirming payments
- We check that the payment has arrived in the account shown, for the amount due, with the reference you gave. We aim to do this as quickly as possible, but we can’t confirm a payment before it has actually arrived, and some methods (especially international bank transfers) take longer.
- Crypto paid through our payment processor’s page is confirmed automatically once the processor reports it paid in full on the blockchain; you don’t need to tell us you’ve paid. A short payment funds nothing until it’s sorted out with you.
- When we confirm the payment, escrow is funded, the transaction page shows Funded, and both parties are notified. This is the first time the seller is told that the buyer has paid.
- If we can’t confirm the payment (nothing arrived, the amount is short, or the details don’t match), we tell the buyer why, and the buyer can check and submit again. Escrow stays unfunded meanwhile.
- If less than the amount due arrives, we may ask the buyer to send the difference before we confirm, or return what arrived. If more arrives, we add the extra to the buyer’s balance or return it, less any cost of returning it.
- Any payer details you give (name, phone, address, country) are seen only by SwapCreators staff, never by the seller, and are kept with the payment record.
10. While funds are held
- Once escrow is funded, the money stays with SwapCreators until it is released to the seller, refunded to the buyer, or split after a dispute, as these terms describe. Neither party can withdraw it or redirect it.
- A funded listing is removed from search and browse results. It reappears only if the deal is cancelled or refunded.
- While escrow is open, neither party can delete their account, and the seller can’t pause, delete, or relist the listing.
11. Channel handover
The channel is handed over through the escrow agent, so that neither side has to trust the other with the channel or the money. The transaction page gives each side its exact steps; in outline:
- The seller makes sure the channel is on a Brand Account, then invites the escrow agent’s Google account (shown only to the seller, on the transaction page) as an Owner, and tells us the invite was sent, with the Brand Account’s name.
- The escrow agent accepts the invite. The transaction then shows In transfer.
- Google only lets a new owner become primary owner after holding the Owner role for 7 days. After that wait, the escrow agent takes primary ownership.
- The buyer gives the Google account that should receive the channel. The escrow agent adds that account to the channel and passes control to the buyer as the transaction page describes, and removes the seller and every other owner and manager.
- The escrow agent records that the channel was handed to the buyer, then releases the funds (section 14).
- SwapCreators never asks for, and you must never share, a Google password, recovery code, or two-step verification code. Handover only uses Google’s own invitations.
- Google decides how ownership transfers work and may change its rules, its waiting periods, or its decisions about an account at any time. We follow Google’s process as it stands; we don’t control it (section 23).
- If the seller’s invite is wrong (wrong email, Manager instead of Owner, wrong channel), we tell the seller why and the seller must send it again. Repeated failures may lead to a dispute or cancellation.
- The buyer may change the Google account given for the handover a limited number of times. Late changes can delay the handover.
12. Seller obligations
By accepting an offer or allowing Buy now, the seller promises that:
- They own the channel, or are authorized by its owner to sell it, and have the right to transfer it.
- The listing and everything they said about the channel (subscribers, views, revenue, monetization status, strikes, warnings, audience) is true and not misleading, and nothing material has changed since without telling the buyer.
- The channel’s audience and engagement were not artificially inflated, and it is not subject to any undisclosed claim, strike, restriction, or agreement that will survive the sale.
- They will send the owner invite promptly once escrow is funded, follow the escrow agent’s instructions, and answer the agent and the buyer in the transaction chat.
- Between agreement and handover, they won’t change the channel in a way that reduces its value (deleting videos, changing its name or handle without agreement, removing monetization, adding owners) and won’t let it pick up strikes through their own actions.
- After the handover they won’t try to regain access to the channel or its Brand Account, interfere with it, or claim it back from Google.
13. Buyer obligations
- Do your own checks before agreeing a price: review the listing, its screenshots, and anything else the seller provides, and ask questions in chat. Figures are reported by the seller.
- Pay the full amount due only to the details on the transaction page, and give accurate payment and payer details.
- Give a Google account you control for the handover, and accept the invitations promptly.
- Check the channel as soon as you receive it, and raise any problem before funds are released (section 16). Once released, escrow can’t be reversed.
- Comply with YouTube’s and Google’s terms when using the channel after the sale.
14. Completion and release
- After the escrow agent records that the channel has been handed to the buyer, the transaction moves to Buyer confirmation. The buyer can confirm receipt, which completes the transaction and releases the funds.
- The escrow agent may also release the funds once the handover is recorded, without waiting for the buyer’s confirmation, unless the buyer has opened a dispute.
- When funds are released, the transaction is Completed, the listing is marked sold, and the seller is owed the full purchase price (section 18).
- Release is final. A completed transaction can’t be reopened or reversed through escrow.
15. Cancellation
- Before escrow is funded, either party (or the escrow agent) can cancel the transaction from the transaction page. No fee is charged for a cancelled, unfunded transaction.
- Once escrow is funded, neither party can cancel it alone. A funded transaction ends only by completion, by agreement through the escrow agent, or by a dispute decision.
- The escrow agent may cancel a funded transaction and refund the buyer where the handover can’t go ahead: for example if the seller doesn’t send a valid invite, loses control of the channel, or the channel is removed or restricted by YouTube before the handover.
- Cancelled and completed transactions are final.
16. Disputes
If something goes wrong after escrow is funded, the buyer can open a dispute from the transaction page, with a reason and a description of the problem. Opening a dispute stops the funds being released until the escrow agent decides it.
- Only the buyer can open a dispute, and only while escrow is funded and not yet released. A seller with a problem should call the escrow agent from the chat.
- A buyer can open one dispute per transaction. Once the escrow agent has decided it, the decision stands, although the agent may reopen the matter if new facts come to light.
- Both parties must answer the escrow agent’s questions and provide evidence asked for (such as screenshots, analytics, and messages) within the time the agent asks. Not responding may be decided against you.
- The escrow agent decides on the evidence available, including the listing, what was said in the SwapCreators chat, the payment and handover records, and the state of the channel.
The escrow agent will decide one of the following, with a note both parties can see:
- Continue: the dispute is closed and the transaction carries on from where it was.
- Release: the funds are released to the seller and the transaction is completed.
- Refund: the transaction is cancelled and the buyer is refunded (section 17).
- Split: part of the purchase price is refunded to the buyer and the rest is released to the seller, in the amounts the agent sets.
A refund decision may require the buyer to return the channel first, where the buyer received it. The escrow agent’s decision is final as far as SwapCreators escrow is concerned. It doesn’t stop either party from taking legal action against the other, and it doesn’t affect rights you have by law.
17. Refunds
- When escrow is refunded in full, the buyer is refunded the purchase price. Where the buyer paid from site balance, the escrow fee is refunded too; for external payments the escrow fee is not refunded.
- On a split, the buyer is refunded the share the escrow agent set; the rest goes to the seller.
- Refunds go back the way the money came, to prevent escrow being used to move money between accounts. If you paid from your site balance, the refund goes back to your balance at once. If you paid by UPI, Binance Pay, crypto, or bank transfer and gave the account you paid from, it is paid out to that account, by the same method, less that method’s payout fee, and to no other account. If no paying account was recorded, you choose to have the refund added to your balance or paid out, and we may ask you to show the payment was yours first.
- If a refund can’t be sent that way (for example the payout fee would take all of it), the escrow agent will contact you to arrange it.
- Payment fees, network fees, and currency conversion costs from your original payment are not refunded.
18. Seller payouts
- When a transaction completes, the seller is owed the full purchase price. It waits on the transaction page until the seller claims it.
- Before claiming, the seller must give payout details: full legal name, phone number, address, and country. We keep a copy with every claim for our tax and accounting records.
- The seller then chooses to keep the money in their SwapCreators balance (no fee) or have it paid out by UPI, bank transfer, PayPal, or crypto, less that method’s payout fee, shown before confirming.
- Payouts are sent to the destination you give. Check it carefully: a payout sent to the details you provided can’t be recalled. We may hold a payout while we check a payment reversal, a dispute, or suspected fraud.
- You are responsible for any taxes due on money you receive.
19. Site balance
- You can add balance by the methods shown on the Balance page. Like escrow payments, you pay to the details shown with your request’s code as the note, then give us the payment reference (and, where the page asks, the account you paid from and payer details). Balance is added only when we confirm the payment, and we tell you why if we can’t. Crypto paid through our payment processor’s page is added automatically once the processor reports it paid in full.
- Adding balance may carry a fee, shown on the Balance page before you pay. It’s paid on top, so your balance gets the full amount you asked for.
- Balance can pay into escrow (which funds it immediately) and pay for promotions.
- You can withdraw available balance at any time, subject to the minimum withdrawal and the payout fee for the method. The full amount is held while we review the request and is returned if we decline it or you cancel.
- Balance is not a bank deposit and earns no interest. We may correct mistakes in your balance and will tell you when we do.
20. Reversed and suspicious payments
- If a payment we confirmed is later reversed, recalled, charged back, or found to be unauthorized or fraudulent, we may reverse the escrow or balance credit it created, hold or cancel the transaction, recover the amount from the member responsible (including from their balance), and suspend their account.
- We may delay, refuse, or report a payment or payout where we reasonably suspect fraud, money laundering, sanctions breaches, stolen funds, or other unlawful activity, and where the law requires it.
- Giving a false payment reference, someone else’s payer details, or a payment that isn’t yours is a serious breach of these terms.
21. Dealing outside SwapCreators
- Payment or handover arranged outside SwapCreators is not covered by escrow, and we can’t help recover money or channels lost that way.
- Asking another member to pay or be paid outside SwapCreators, or sharing contact details to do so, breaks the Terms of Service. Contact details in chats are removed automatically, and repeated attempts can lead to strikes, suspension, or a ban.
- If anyone asks you to pay outside your transaction page, including someone claiming to be SwapCreators, don’t. Report it from the chat or the Report page.
22. Records and communications
- Our records of the transaction (the transaction page, its events, payment and handover records, and the SwapCreators chat for the deal) are the main evidence for any decision we make.
- SwapCreators staff may read the chat for a transaction to help with it, check a payment, or decide a dispute. Chats with an open escrow are kept until it is finished.
- We send notices about your transaction on the site and, if you’ve turned them on, by email, browser notification, and Telegram. Check your transaction page for the current state; notifications can be delayed.
- How we handle personal information is explained in the Privacy Policy.
23. YouTube, Google, and other services
- SwapCreators is not affiliated with, endorsed by, or sponsored by YouTube or Google.
- Buyers and sellers are each responsible for complying with YouTube’s and Google’s terms and policies in any sale or transfer. YouTube or Google may restrict, demonetize, or remove a channel, or refuse or reverse an ownership change, at any time, and we have no control over that.
- If YouTube or Google acts against a channel before the handover is complete, the escrow agent may cancel and refund the transaction. After completion, it is a matter between the buyer and the seller.
- Payments, payouts, and notifications rely on banks, UPI apps, Binance, blockchains, email providers, and messaging services. We aren’t responsible for their delays, outages, or errors, but we will help where we reasonably can.
24. Limits of our responsibility
- Our responsibility as escrow agent is to hold confirmed funds and to release, refund, or split them as these terms describe.
- We are not responsible for the condition, performance, earnings, monetization, audience, or future standing of any channel, for what either party says about it, or for what either party does with it.
- We are not responsible for losses caused by payments sent to the wrong details, on the wrong network, or outside SwapCreators; by a member sharing their account or Google credentials; or by events outside our reasonable control.
- To the extent the law allows, our total liability to you for a transaction is limited to the fees you paid us for that transaction, plus any amount we hold for you in it that we fail to release, refund, or split as these terms require.
- Nothing in these terms limits or excludes liability that can’t be limited or excluded by law, or affects rights you have as a consumer where you live.
25. Suspension and closure
- We may pause a transaction, hold funds, or suspend an account while we investigate a breach of these terms, a dispute, a reported payment problem, or suspected fraud.
- If we close an account with an open transaction, the escrow agent decides the transaction under these terms; funds owed to the other party are not affected by the closure.
- Money that is yours when your account closes (balance, refunds, or sale proceeds) is paid out to you, less payout fees, unless the law or a dispute requires us to hold it.
26. Changes, notices, and contact
We may update these Escrow Terms. Changes are announced on the site before they take effect, and a transaction is governed by the version in effect when it started, except where a change is needed to comply with the law or to protect members from fraud.
Questions about a transaction should go to the escrow agent through your transaction chat (Call escrow agent), quoting the escrow code. Other questions can be sent through the Contact page.
